Terms and Conditions

Introduction

These Terms and Conditions govern all coaching services provided by Excellera, a sole proprietorship (eenmanszaak) registered with the Dutch Chamber of Commerce (KvK) in the Netherlands ("Coach", "we", "us"), to individual clients and corporate sponsors ("Client", "you").

By booking a discovery call, purchasing a package, or attending any coaching session, you agree to be bound by these Terms and Conditions.

Coaching services and packages

  1. Excellera provides professional development and career coaching. Coaching is not therapy, counselling, consulting, or legal, financial, or medical advice.
  2. Coaching is a thought-partnership aimed at clarifying goals, exploring options, and supporting you in taking action; you remain fully responsible for your decisions, actions, and results.
  3. The current standard offers are:
    • Focus: 5 sessions over 3 months, including a discovery session, 5 coaching sessions, Constructivist progress scale, and an Excellera Coaching Card.
    • Capability: 10 sessions over 6 months, including a discovery session, 10 coaching sessions, 360° feedback intake, and an Excellera Coaching Card.
    • Shift: 20 sessions over 12 months, including a discovery session, 20 coaching sessions, 360° feedback plus ROI baseline, and an Excellera Coaching Card.
  4. Packages are offered at a total package price as advertised on the website at the time of purchase (for example Focus €399, Capability €749, Shift €1,399, excluding VAT).
  5. The exact objectives, focus areas, and success metrics for your package are agreed during the discovery and first coaching session and may be refined over time by mutual consent.

Discovery call and discovery session

  1. You may book a free, no-obligation discovery call via the website to explore whether Excellera is a good fit for your needs.
  2. Once we agree to work together and identify the package that best fits your needs, the first step is to define the goal, expectations, and ways of working for the engagement. This is done during the discovery session or the first coaching session.

Session structure and scheduling

  1. Sessions last 60 minutes and are delivered online (via video call) unless we explicitly agree otherwise in writing.
  2. You schedule sessions using the booking link and are responsible for booking sessions within the duration of your package (3, 6, or 12 months respectively).
  3. Sessions do not automatically expire at the end of the package duration. However, if you do not schedule any further sessions within 3 months after your last held session, the remaining sessions will be automatically cancelled and refunded in accordance with the "Ending the engagement, refunds and 'stop anytime' policy" section.
  4. We start and end sessions on time. If you arrive late, the session will still end at the agreed time and the full session is deemed delivered.
  5. You and the coach may reschedule sessions up to 24 hours before the start time. If rescheduling is needed due to unforeseen circumstances (for example illness or travel), both parties will agree a new time via the agreed communication channel.

Fees, payment and invoices

  1. Package fees are payable in advance unless a payment plan is explicitly agreed in writing.
  2. Payment is made via the methods indicated on the invoice (for example bank transfer or online payment provider).
  3. For payment plans, you agree to pay each instalment on or before the agreed due date; failure to pay may result in suspension of sessions until payment is received.
  4. Invoices follow Dutch invoicing requirements and specify Excellera's KvK number and, where applicable, VAT number.

Cancellation and rescheduling of sessions

  1. You may reschedule a session up to 24 hours before the start time via the booking system or by contacting the coach.
  2. Sessions cancelled or rescheduled with less than 24 hours' notice, or missed without notice, are treated as delivered and are not refundable, except in cases of emergency at the coach's discretion.
  3. If the coach needs to cancel or reschedule, we will notify you as soon as reasonably possible and offer an alternative date; no additional fee will be charged.

Ending the engagement, refunds and "stop anytime" policy

  1. You may end the coaching engagement at any time by email or written message.
  2. When you end the engagement:
    • The baseline per-session rate is €85.
    • All sessions already delivered are billed at this baseline per-session rate, unless one of the following applies:
      • You purchased the Capability or Shift package and at least 5 sessions have been delivered. In this case, the first 5 delivered sessions are billed at €399 (the Focus package price), and any additional delivered sessions are billed at the baseline per-session rate.
      • You purchased the Shift package and at least 10 sessions have been delivered. In this case, the first 10 delivered sessions are billed at €749 (the Capability package price), and any additional delivered sessions are billed at the baseline per-session rate.
    • The value of any remaining prepaid sessions is refunded to you within 14 days of your written notice, using the original payment method where reasonably possible, in line with Dutch and EU consumer rules on refunds for distance services.
  3. The discovery session is free of charge.
  4. The "Stop anytime — money-back on unused sessions" promise applies to all packages and means:
    • You can choose to stop for any reason and at any time.
    • You will receive a refund for all unused, prepaid sessions, minus the cost of sessions already delivered at their per-session rate as described above.
  5. If you purchased your package online as a consumer (not via your employer), you may have a statutory 14-day cooling-off period under Dutch law for distance contracts. If applicable, you can withdraw within 14 days of purchase and receive a refund in line with legal requirements, taking into account any sessions already delivered with your explicit consent.
  6. For corporate clients (B2B), the contractual cancellation terms in this document apply; statutory consumer cooling-off rights generally do not apply to business customers.

Responsibilities of coach and client

The coach agrees to:

  1. Provide professional coaching services with care, skill, and respect, in line with recognised International Coaching Federation (ICF) ethics.
  2. Maintain appropriate professional boundaries and avoid conflicts of interest.
  3. Be present, prepared, and on time for sessions.

You, as client, agree to:

  1. Take full responsibility for your own physical, mental, and emotional well-being, decisions, actions, and results.
  2. Attend sessions on time, complete agreed actions between sessions, and communicate honestly with the coach.
  3. Seek additional professional support (for example therapy, medical, legal, financial advice) where appropriate; coaching is not a substitute for these services.

Confidentiality

  1. The coach maintains strict confidentiality about all information you share during sessions, in line with professional coaching ethics and good practice.
  2. Information may only be disclosed to third parties:
    • With your explicit consent (for example feedback to a sponsoring organisation), or
    • When required by law, court order, or if there is a serious and imminent risk of harm to yourself or others.
  3. For engagements sponsored by your employer, the content of coaching sessions remains confidential. Agreed goals, progress summaries, and outcomes may be shared at a high level with the sponsor only with your consent.
  4. The coach may use anonymised information about the engagement (for example themes and results) for professional development, supervision, research, or marketing, but only in a way that does not identify you personally, unless you have given explicit written permission (for example for a testimonial).

Data protection and communication

  1. Excellera stores your contact details, basic session notes, contracts, and invoices securely and only for as long as necessary for coaching, legal, and tax purposes, in line with the General Data Protection Regulation (GDPR) and Dutch data protection rules.
  2. You agree that we may contact you via email, messaging apps, or video platforms for coaching and administrative purposes.
  3. You are responsible for ensuring you have a private space for sessions and for the security of your own devices and internet connection.

Constructivist progress scale, 360° feedback and ROI baseline

  1. Where included in your package, tools such as the constructivist progress scale, 360° feedback intake, and ROI baseline are used to support reflection and learning; they do not constitute formal psychological testing or organisational consulting.
  2. For 360° feedback, you are responsible for identifying and inviting respondents. Their responses may be aggregated and shared with you and, if agreed, at a high level with a sponsoring organisation.
  3. Any quantitative or qualitative data collected is treated as confidential and is used only to support your development, evaluate the coaching, and improve Excellera's services, in anonymised form where used for research or marketing.

Excellera Coaching Card

  1. The Excellera Coaching Card is a tool used to structure reflection, track insights, and capture actions during and between sessions.
  2. The intellectual property in the Excellera Coaching Card and related materials remains with Excellera; you receive a personal, non-transferable licence to use these materials for your own development.
  3. You agree not to copy, distribute, or commercially exploit the Excellera Coaching Card or related materials without prior written consent.

Intellectual property

  1. All coaching materials, models, exercises, tools, and content provided by the coach (including slides, worksheets, and digital resources) remain the intellectual property of Excellera or its licensors.
  2. You may use these materials for your personal development during and after the engagement, but you may not copy, share, resell, or use them to train others without written permission.

Limitation of liability

  1. Coaching is a professional relationship designed to facilitate development and growth; outcomes cannot be guaranteed.
  2. To the fullest extent permitted by Dutch law, Excellera is not liable for any indirect, consequential, or special losses, or for any decisions or actions you take as a result of coaching.
  3. Our total liability for any claim arising out of the coaching engagement is limited to the amount you have paid for the current package, except where liability cannot be limited by law.

Governing law and disputes

  1. These Terms and Conditions, and any coaching agreement between us, are governed by and construed in accordance with the laws of the Netherlands.
  2. Any dispute arising out of or in connection with these Terms and Conditions will, in the first instance, be addressed through good-faith discussions between you and Excellera. If we cannot resolve the matter, the dispute will be submitted to the competent Dutch court in the district where Excellera is established, unless mandatory consumer law provides otherwise.
